1. Agreement to Terms
These Terms of Service ("Terms") are a binding legal agreement between GovSynth ("Company," "we," "us," or "our") and the entity or individual accessing or using the GovSynth platform ("Customer," "you," or "your").
By accessing or using the Service, you represent that you have the authority to bind your organization and agree to these Terms.
2. Description of Service
GovSynth is a cloud-based platform supporting business development, operations management, and organizational performance for government contractors. Capabilities may include:
- Pipeline and opportunity management
- Customer relationship management (CRM)
- Workforce and HR tracking
- Performance and delivery analytics
The Service is provided as configurable software. Company does not provide legal, contractual, or compliance determinations.
3. Customer Responsibilities
You agree to:
- Provide accurate and complete account information
- Maintain confidentiality of credentials and access controls
- Ensure users comply with these Terms
- Use the Service in accordance with applicable laws and contractual obligations
You are solely responsible for:
- The accuracy, quality, and legality of data you submit ("Customer Data")
- Ensuring Customer Data does not include information you are not authorized to store or process
- All decisions, actions, and outcomes derived from use of the Service
4. Acceptable Use
You will not, and will not permit any user to:
- Use the Service in violation of law or government contract obligations
- Store or transmit malicious code or harmful content
- Attempt unauthorized access to systems, accounts, or data
- Interfere with or disrupt Service performance or security
- Reverse engineer, decompile, or attempt to extract source code
5. Data Rights and Ownership
- Customer retains all rights to Customer Data
- Company retains all rights to the Service, platform, and underlying technology
You grant Company a limited, non-exclusive right to host, process, and display Customer Data solely to provide and improve the Service.
Company may use aggregated and anonymized data to improve the Service. Company will not use Customer Data to train generalized models or share it externally without explicit written permission.
6. Security and Compliance
Company implements reasonable administrative, technical, and physical safeguards aligned with commercial best practices.
Customer acknowledges:
- The Service is not guaranteed to meet specific regulatory frameworks (e.g., CMMC, FedRAMP) unless explicitly stated in a separate agreement
- Customer is responsible for determining suitability for storing Controlled Unclassified Information (CUI) or other sensitive data
7. Availability and Support
The Service is provided on a commercially reasonable basis. Company does not guarantee uninterrupted or error-free operation.
Maintenance, updates, or outages may occur.
Service levels, if any, will be defined in separate agreements.
8. Fees and Subscription (If Applicable)
If you purchase a subscription:
- Fees are due as agreed at purchase
- Subscriptions renew automatically unless canceled
- Fees are non-refundable except as required by law or stated in writing
9. Termination
Company may suspend or terminate access if:
- You breach these Terms
- Your use presents security, legal, or operational risk
Upon termination:
- Your right to use the Service ends immediately
- Customer Data may be deleted after a reasonable retention period
10. AI-Generated Outputs and Use of Automation
The Service may include features that generate recommendations, summaries, or other outputs using automated or machine-assisted processes ("AI Outputs").
Customer acknowledges and agrees:
- AI Outputs may not be accurate, complete, or current
- AI Outputs are provided for informational and analytical support only
- AI Outputs do not constitute legal, contractual, compliance, or business advice
- Customer is solely responsible for reviewing, validating, and approving any AI Outputs before use
Customer will not rely on AI Outputs as the sole basis for:
- Proposal submissions
- Contractual decisions
- Compliance determinations
- Personnel or financial decisions
Company does not guarantee the accuracy, reliability, or fitness of AI Outputs for any specific purpose.
11. Disclaimer of Warranties
THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE."
COMPANY DISCLAIMS ALL WARRANTIES, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.
COMPANY DOES NOT WARRANT THAT THE SERVICE WILL MEET CUSTOMER REQUIREMENTS OR THAT OUTPUTS, INCLUDING AI OUTPUTS, ARE ERROR-FREE OR RELIABLE.
12. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW:
- COMPANY SHALL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, OR CONSEQUENTIAL DAMAGES
- COMPANY'S TOTAL LIABILITY SHALL NOT EXCEED THE AMOUNT PAID BY CUSTOMER IN THE PRIOR 12 MONTHS
THIS LIMITATION APPLIES REGARDLESS OF CAUSE OF ACTION.
13. Indemnification
Customer agrees to defend and indemnify Company against claims arising from:
- Customer's use of the Service
- Customer Data
- Customer's violation of law, regulation, or third-party rights
14. Modifications to Service or Terms
Company may update the Service or these Terms from time to time.
Material changes will be communicated through the Service or via email. Continued use constitutes acceptance of the updated Terms.
15. Governing Law
These Terms are governed by the laws of the Commonwealth of Virginia, without regard to conflict of law principles.
